Tottenham have reached an agreement for Ndiaye, subject to the player accepting personal terms.
Richarlison is expected to come the other way to the Toffees.
Fabrizio Romano is now reporting that the Blues are also in advanced talks to re-sign Grealish.
The Merseyside outfit are in ongoing negotiations with Man City over a loan deal for the England international.
Grealish, 30, is prioritising a return to Hill Dickinson Stadium, and it could be completed as early as next week.
